1. What governs your use of TradeCraft
Your use of the TradeCraft software is governed by the End User License Agreement (eula.md) and
the Risk Disclosure and No Investment Advice document (risk-disclosure.md), both distributed with
the Software and readable from Settings. Those are the operative agreements. Read them.
This document covers our website and any online services we offer.
2. Online services
A New Software, LLC operates a website through which you register for a TradeCraft license, renew it, and manage it, and an online licensing service that the Software uses to activate and validate licenses. Where a license is paid for, payment is taken at the time of purchase or renewal by us or by a payment provider we engage, which may act as merchant of record under its own terms and, if so, issues your invoice and handles billing questions. All sales are final. Because the Software is delivered immediately on purchase, we do not offer refunds, in whole or in part, for any license term, including the unused remainder of a term after cancellation, except where a refund is required by law.
The Software is downloaded from our website; downloading it may require a current license key.
Registration requires accurate information. You are responsible for keeping your email address current, since that is where notices about your license, its expiry and its renewal are sent, and for keeping your account credentials confidential.
Nothing on our website forms part of your license, and where anything on it conflicts with the End User License Agreement, that Agreement controls.
3. A New Software is not a financial services provider
This applies to our website and to everything we publish, exactly as it applies to the Software itself.
A New Software, LLC is not a broker, dealer, exchange, market data provider, futures commission merchant, commodity trading advisor, investment adviser, financial adviser, tax adviser or legal adviser, and is not registered in any such capacity with any regulator.
The Software is provided for informational, educational and simulation purposes only. It cannot place, route, transmit, modify or cancel orders, and has no such capability. Nothing the Software displays, and nothing we publish, is a recommendation, a solicitation, an offer, or investment, financial, legal or tax advice.
You are solely responsible for your own trading and investment decisions, your brokerage accounts and permissions, your market data and its terms, the files you import, and your results.
4. Acceptable use
You may not use our website or services to circumvent licensing or technical protection measures, to scrape or harvest content, to resell or redistribute access, or to interfere with the operation of the service or with anyone else’s use of it.
5. Disclaimers and liability
Our website and any online services are provided “as is”, without warranty of any kind. The disclaimers, limitations of liability and indemnity in Sections 10, 11 and 12 of the End User License Agreement apply in full.
6. Territory
We market and offer TradeCraft and our website to customers in the United States. We do not direct either at, and do not knowingly target, residents of any other country. If you access them from outside the United States, you do so on your own initiative and are responsible for compliance with local law — consistent with Section 14 of the End User License Agreement.
7. Governing law and venue
These Terms are governed by the laws of the State of Iowa, United States of America, without regard to its conflict-of-laws principles, and the exclusive venue for any dispute is the state or federal courts located in the State of Iowa — consistent with Section 15 of the End User License Agreement.
8. Changes
We may update these Terms. The Terms that apply are the ones distributed with the version of the Software you are running, and the Software will show you a changed document again before continuing.
